OFFICIAL CONTEST RULES AND REGULATIONS (“OFFICIAL RULES”)
1. NO PURCHASE NECESSARY TO ENTER OR TO WIN. The Contest is subject to all Federal, State, Local and Municipal laws and regulations. Void where prohibited by law.
2. SPONSOR: The contest is sponsored by Karndean International, LLC d/b/a Karndean Designflooring, 1100 Pontiac Court, Bushy Run Corporate Park, Export Pennsylvania 15632 (“Karndean”).
3. CONTEST ENTRY PERIOD: Design with Van Gogh Contest (the “Contest”) begins on April 24, 2023, at 12:01 AM EST and ends at 11:59 PM EST on June 18, 2023 (the “Contest Period”).
4. ELIGIBILITY: To be eligible, a participant (a) must be a Karndean retailer that is located in the 48 contiguous United States or the District of Columbia, which has purchased Karndean flooring within 24 months prior to the time of entry, and (b) if a natural person, must be at least eighteen (18) years old and the age of majority in their state of residence at the time of entry. Participation constitutes entrant’s full and unconditional agreement to these Official Rules and Karndean’s decisions, which are final and binding in all matters related to the Contest. Winning a Prize is contingent upon fulfilling all requirements set forth herein. The Contest is not open to employees and directors of the Sponsor or of the Sponsor’s respective parent companies, affiliates, subsidiaries, and advertising or promotional agencies, or legal advisors, or to the immediate family members of, or to any persons domiciled with, any such employee or director. All winners are subject to the Sponsor’s verification of eligibility hereunder.
5. HOW TO ENTER THE CONTEST: During the Contest Period, participants may enter by posting photographs of completed installations of Karndean’s Van Gogh flooring to Facebook and/or Instagram and including the hashtag “#VanGoghDesignContest”. Participants may submit more than one entry. All entries must be posted before the end of the Contest Period; no exceptions will be made. Karndean is not responsible for any errors or failures of transmission or submission of an entry. Entries that are forged, altered, incomplete, garbled, or generated with intent to subvert the entry process will not be accepted and are void. Entries are also ineligible if they violate or infringe upon another person's rights or depict any person without such person’s consent. ANY ENTRY WHICH DOES NOT CONFORM STRICTLY TO THESE REQUIREMENTS IS NULL AND VOID.
6. WINNER SELECTION: A winning entry must comply with all terms and conditions set forth in these Official Rules; winning is contingent upon fulfilling all such requirements. Entries will be judged by a committee comprised of Karndean employees. The committee will judge all posts based on the creativity, and overall style of the installation. The committee’s decisions will be final.
7. PRIZE: Two (2) total winners will be selected based on the following specifications:
Most Creative Installation: The winner will receive a gift card in the amount of $500.
Most Stylish Installation: The winner will receive a gift card in the amount of $500.
8. WINNER NOTIFICATION: Winners will be chosen and the completion of the Contest Period and will be notified via the social media platform on which the entry was posted on June 19, 2023. A public announcement of the winners will be posted on Facebook and Instagram on June 20, 2023.
9. VERIFICATION / ODDS: Prize award is subject to verification of eligibility and compliance with these Official Rules. The winner of the Prize is responsible for all federal, state, and local taxes, if applicable, associated with Prize receipt and/or use. No transfer or substitution by the winner is permitted except as otherwise stated herein. Karndean reserves the right, in its sole discretion, to substitute the Prize with one of comparable or greater value. The winner is solely responsible for payment of any and all taxes pertaining to their Prize. Odds of winning the Prize depend on the number of eligible entries received during the Contest Period. The winner is strictly prohibited from selling, auctioning, trading or otherwise transferring any part of the Prize, except in Karndean's sole discretion.
10. USE AND OWNERSHIP OF CONTEST INFORMATION AND ENTRIES: All entries, including but not limited to the photographs submitted therewith, become the property of Karndean. By participating in the Contest, a participant grants to Karndean a non-exclusive, perpetual, worldwide license to broadcast, publish, store, reproduce, distribute, syndicate, and otherwise use and exhibit an entry (along with the entrant’s name) in all media now known and later come into being for purposes of trade or advertising without further compensation. Participants represent and warrant that they have full legal right, power and authority to grant Karndean the foregoing license and if applicable, have secured all necessary rights from any participants in, and contributors to, their submission in order to grant such a license. Karndean may – but is not obligated to – use any and all information related to the Contest, including submissions provided by participants, for editorial, marketing and any other purpose, unless prohibited by law. Karndean may also interview the winner for Karndean's promotional use and without further consideration paid. The winner may waive the right to receive a Prize. The return of any prize or prize notification as undeliverable will result in disqualification, and the forfeiture of all interest in the Prize. Unless prohibited by law, acceptance of a Prize constitutes permission for Karndean, and its respective agencies to use the winner’s name, address (city and state), and/or likeness for advertising and trade purposes without further compensation, worldwide and in perpetuity, in any and all forms of media, now known and hereafter devised, including, without limitation, the Internet.
11. GENERAL CONDITIONS: Karndean reserves the right to cancel, suspend and/or modify the Contest, or any part of it, if any fraud, technical failures or any other factor beyond Karndean's reasonable control impairs the integrity or proper functioning of the Contest, as determined by Karndean in its sole discretion. Karndean reserves the right, in its sole discretion, to disqualify any entrant whose entry or conduct appears in any way to tamper with the Contest, violate these Official Rules, infringe on the rights of third parties, or act in an unsportsmanlike or disruptive manner. Karndean's failure to enforce any term of these Official Rules shall not constitute a waiver of any provision. In the event that any tampering, fraud, technical error or failure, unauthorized intervention, or other problem which corrupts, impairs, or affects the administration, security, fairness, or integrity of the online portion of the Contest, or for any other reason Karndean deems it necessary, Karndean may, at its sole discretion, cancel, terminate, modify, or suspend the Contest and award the Prize at random among all eligible entries received up to the time of impairment. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEB SITE ASSOCIATED WITH THE CONTEST OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, KARNDEAN AND/OR THE CONTEST ADMINISTRATOR RESERVES THE RIGHT TO PROSECUTE AND SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR ANY SUCH ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.
12. DISCLAIMERS: By entering, participants acknowledge and agree that Karndean, and its parents, subsidiaries, affiliates, franchisees, advertising and promotional agencies, and the officers, directors, employees, agents, and representatives of each of the foregoing entities (collectively, the “Contest Entities”), will not be liable for losses or injuries of any kind resulting from acceptance/possession/use and/or misuse of prize(s), participation in the Contest, printing, mailing, or distribution errors, or any malfunctions of the computer Internet system, computer dating mechanism, computer equipment, software, or any combination thereof, unauthorized human intervention in the Contest, errors in the administration of the Contest or the processing of entries, or any entries that are late (including misdirected or lost mail and/or delayed data transmissions), tampered with, garbled, incomplete, or otherwise not in compliance with these Official Rules. The Contest Entities are not responsible or liable for any injury or damage to any participant’s or third person’s computer and/or its contents, related to or resulting from the Contest. Participants release and agree to hold harmless the Contest Entities from any and all liability from any of the claims described above.
The Contest Entities are not responsible for late, lost, illegible, misdirected, stolen, undelivered, separated, or postage due entries or mail, and the Contest Entities assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft, destruction, or unauthorized access to their respective web sites. The Contest Entities are not responsible for any problems or technical malfunctions of any telecommunications network or telecommunications lines, computer on-line systems, servers, computer equipment, telecommunications network equipment, software, failure of any e-mail or entry to be received by Karndean on account of technical problems, human error, traffic congestion on the Internet or on any web site, or any combination thereof.
EVERYTHING ON THIS SITE AND IN THIS PROMOTION IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
13. LIMITATION OF LIABILITY: By entering, participants agree to be bound by these Official Rules and by the decisions of Karndean and committee officials and judges, if any, appointed by the Sponsor, which decisions shall be final and binding in all respects. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules or the rights and obligations of participants and Karndean in connection with the Contest will be governed by and construed in accordance with the internal laws of the Commonwealth of Pennsylvania, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other state's laws. ENTRANTS AGREE THAT THE STATUTE OF LIMITATIONS FOR ASSERTING ANY CLAIMS SHALL BE A PERIOD OF ONE YEAR FROM THE END DATE OF THE CONTEST PERIOD. BY ENTERING THE CONTEST, PARTICIPANT AGREES THAT: (1) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE CONTEST, OR ANY PRIZE AWARDED, WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (2) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED, (IF ANY), NOT TO EXCEED $500.00, BUT IN NO EVENT WILL ATTORNEYS' FEES BE AWARDED OR RECOVERABLE; (3) UNDER NO CIRCUMSTANCES WILL ANY PARTICIPANT BE PERMITTED TO OBTAIN ANY AWARD FOR, AND PARTICIPANT HEREBY KNOWINGLY AND EXPRESSLY WAIVES ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS AND/OR ANY OTHER DAMAGES, OTHER THAN ACTUAL OUT-OF-POCKET EXPENSES NOT TO EXCEED $500.00, AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED; AND (4) PARTICIPANT'S REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND PARTICIPANT IRREVOCABLY WAIVES ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF. THE CONTEST IS GOVERNED BY, AND WILL BE CONSTRUED IN ACCORDANCE WITH, THE LAWS OF THE COMMONWEALTH OF PENNSYLVANIA, AND THE FORUM AND VENUE FOR ANY CLAIM OR DISPUTE RELATED TO THE CONTEST WILL BE THE STATE OR FEDERAL COURTS LOCATED IN ALLEGHENY COUNTY, PENNSYLVANIA. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU.
14. MISCELLANEOUS: The invalidity or unenforceability of any provision of these Official Rules or any applicable prize acceptance documents will not affect the validity or enforceability of any other provision. In the event that any provision of the Official Rules or any applicable prize acceptance documents is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Karndean's failure to enforce any term of these Official Rules will not constitute a waiver of that provision. Participants agree to waive any rights to claim ambiguity of these Official Rules. Headings are solely for convenience of reference and will not be deemed to affect in any manner the meaning or intent of the documents or any provision hereof.
15. WINNER LIST: A winner’s list will be maintained for four years from the end of the Contest Period by Karndean. For the name and hometown of the Prize winners, and/or a copy of these Official Rules send a stamped, self-addressed envelope marked “Design with Van Gogh Contest” to Karndean International (USA), LLC, 1100 Pontiac Court, Bushy Run Corporate Park, Export, PA 15632. Indicate whether you are requesting the Winner’s information or a copy of Official Rules or any combination of the foregoing.
